Teniz Capital Brokerage Ltd. (BIN 240640900275), a private company incorporated under the acting law of the Astana International Financial Centre (the “Company”), hereby notifies you, as a creditor of the Company, that the General Meeting of Shareholders of the Company has resolved to reorganise the Company by way of a merger with its wholly owned subsidiary, Tabys Ltd. (BIN 241240900194), a private company incorporated under the acting law of the Astana International Financial Centre (“Tabys Ltd.”).
As a result of the merger:
1. Tabys Ltd. will cease to exist and will be removed from the AIFC Register without undergoing liquidation; and
2. the Company will become the universal successor to all rights and obligations of Tabys Ltd., including all of Tabys Ltd.’s obligations to its creditors.
A copy of the Merger Agreement and the resolution of the General Meeting of Shareholders of the Company may be provided to the Company’s creditors free of charge upon request submitted to the Company’s address specified above: Republic of Kazakhstan, 010000, Astana, Yessil district, Syghanaq street, building 60/4, office 0905.
In light of the above, if you have any objections to the merger, the Company kindly requests that you submit a written notice of such objection within twenty-eight (28) calendar days from the date of receipt of this Notice of Reorganisation (Merger).
Please note that the merger will not result in any change to the Company as the obligor under its existing obligations to its creditors. All obligations of the Company existing prior to the effective date of the merger will remain in full force and effect on their existing terms, and the Company will continue to be the contracting party under the relevant agreements and other obligations.
This merger does not constitute grounds for the acceleration or early performance of the Company’s obligations to its creditors, except where expressly provided for in the relevant agreement with the respective creditor or under applicable law.
